Terms, rights, and obligations for practitioners and partners collaborating with GLØDI.

Partnership Agreement

These terms govern the collaboration between you as a partner/practitioner and GLØDI. By accepting the invitation and becoming a partner, you agree to the terms described below.

Terms of Sale

1. Parties to the Agreement

These terms govern the collaboration between the partner (practitioner) and GLØDI.

Platform Owner

Nordic Cognitive Labs AS (“GLØDI”), org. no. 933 866 327, operates the GLØDI platform. Email: [email protected]. For treatments and products you order from a clinic, the clinic is the seller and your contracting party — the clinic's name and organisation number appear in your confirmation and on the receipt. GLØDI is the seller of platform services such as business subscriptions.

Partner

The practitioner or professional who accepts the invitation to become a partner at GLØDI. The partner operates as an independent contractor or employee, depending on the agreed engagement model.

2. Partner Obligations

As a partner at GLØDI, you commit to maintaining high professional standards.

Professional Qualifications

You are responsible for maintaining valid certifications, authorizations, and insurance required for the treatments you perform. Documentation must be provided upon request.

Treatment Quality

All treatments must be performed according to applicable medical guidelines, hygiene standards, and industry best practices. You must follow GLØDI's quality procedures and HSE routines.

Availability and Scheduling

You are responsible for keeping your availability up to date in the system. Confirmed bookings must be honored unless there is a valid reason for cancellation.

3. Platform Use

Booking and patient follow-up

You use GLØDI for calendar management, patient communication, journaling, and follow-up in line with applicable routines and regulations.

Clinic assignment

You only get access to clinics and functions explicitly assigned to you in the platform.

Prohibited use

Sharing credentials, bypassing security controls, or using the platform for unlawful or unauthorized activity is not permitted.

4. Compensation and Settlement

Compensation and payout terms are agreed individually between GLØDI and the partner.

Commission Model

The partner receives compensation based on an agreed commission model. The commission rate is specified in the individual partner agreement and may vary by service type.

Payout Period

Settlement is paid according to the agreed payout period. Payout overview is available in the partner portal.

Tax and Duties

The partner is solely responsible for reporting and paying taxes and duties on received compensation, in accordance with applicable tax legislation.

5. Cancellation and No-show

Cancellation guidelines apply to ensure a good customer experience.

Partner Cancellation

If you must cancel a confirmed booking, this should be done as early as possible. Repeated cancellations may lead GLØDI to review the partnership arrangement.

Customer Cancellation

Customers have the right to cancel at least 48 hours before the scheduled appointment. Late cancellation or no-show fees are handled according to GLØDI's customer terms.

6. Confidentiality

Both parties are obligated to handle confidential information with care.

Professional Secrecy

You commit to treating all patient and customer information confidentially in accordance with health personnel legislation and privacy regulations. The duty of confidentiality also applies after the collaboration has ended.

Business Information

Information about GLØDI's business operations, pricing, customer lists, and internal procedures is confidential and must not be shared with third parties.

7. Liability and Insurance

Treatment Liability

The partner bears professional responsibility for their own treatments. GLØDI is not liable for injuries or complications resulting from treatments performed by the partner.

Insurance

The partner must maintain relevant professional liability insurance covering the treatments performed. Proof of insurance must be provided upon request.

8. Termination

The collaboration may be terminated by either party with reasonable notice.

Notice Period

Either party may terminate the collaboration with a minimum of 30 days' written notice, unless otherwise agreed in the individual partner agreement.

Immediate Termination

GLØDI may terminate the collaboration with immediate effect in the event of material breach of these terms, including breach of confidentiality, professional standards, or repeated non-compliance.

After Termination

Upon termination, outstanding compensation will be paid according to the agreed payout period. All existing bookings must be completed or transferred to another practitioner.
